The press release is attached for your reference. ---------------------------------------------------------------- MOUNTAIN VIEW, CA --Sept. 26, 1991-- Sun Microsystems, Inc., its subsidiary SunSoft, the Eastman Kodak Company, and its subsidiary INTERACTIVE Systems Corporation, today announced that the companies have reached an agreement in principle for SunSoft to acquire the Intel-UNIX(R) operating system business of INTERACTIVE Systems corporation. SunSoft will acquire the INTERACTIVE Systems Products division, which develops and markets software for the Intel platform. The acquisition enables SunSoft to establish an immediate presence in the Intel 80X86 market by leveraging INTERACTIVE's product and market position. The companies also announced Sun Microsystems' intention to license certain software technologies from Eastman Kodak. All transactions are subject to negotiation, execution of definitive agreements and formal approval by Sun Microsystems' Board of Directors. Terms of the transactions were not disclosed. Headquartered in Santa Monica, Calif., the INTERACTIVE Systems Products division is a leading provider of UNIX on the Intel 80X86 architecture. According to International Data Corp., a Massachusetts-based research firm, INTERACTIVE's Systems Products division is the fastest growing provider of UNIX on Intel, with a 1990 growth rate of 71%, and the second largest supplier, with an estimated 22% market share. As part of SunSoft, INTERACTIVE's Systems Products division will continue to market and support its current product line, and will assist in developing the Intel version of Solaris(TM) 2.0 for SunSoft. Solaris is SunSoft's 32-bit distributed computing solution based on UNIX System V Release 4 (SVR4) - a version of UNIX that unites 80 percent of the 10 million UNIX users. Solaris 2.0 will run on both SPARC- and Intel-based platforms. INTERACTIVE's Services and Technologies division, which offers custom software services and technology licensing to companies adopting and implementing open systems solutions, will continue to operate as a Kodak subsidiary under the INTERACTIVE name.
